Materials Analytical Services, Inc. (MAS)
In 1995, our firm assisted MAS management in the acquisition of company shares owned by the former parent. We negotiated the purchase price and structure and arranged financing for both ongoing working capital requirements and the cash portion of the consideration paid. In 1998, MAS and its principals concluded a real estate transaction involving construction of new facilities, arranged in part by our firm.
In late 2002, Peter Colmer worked with management to structure the purchase of certain assets in California to enable the Company to expand its laboratory service offerings both functionally and geographically. After the closing in January, 2003, we provided oversight to the Western operating facilities on a periodic basis.
In mid-2006, MAS was approached by a strategic buyer whose interests included the acquisition of several, but not all, of the Company's operating divisions. Ultimately we advised MAS during the consummation of the complex sales transaction in which the entire company was sold in a stock transaction to minimize the tax effect on the principals, and then simultaneously distributed certain assets to a newly-formed LLC to enable operations to continue in the retained groups.
Peter Colmer continues his association with MAS as a member of the Board of Directors. |
